Terms of Use

1. Payment Policy

The Service is paid for in advance.

2. Modifying and Terminating our Service

We may add or remove functionalities or features, and we may suspend or stop our Service altogether. We reserve the right to suspend or cancel any User's access to any portion or all of the Service when we determine that the Service has been used inappropriately. Geedop reserves the right to refuse its Service to anyone.

3. Refund Policy

• The Service is paid for in advance and is non-refundable once your account has been charged.
• If Geedop terminates an account due to policy violations, there will be no refund.

4. Shipping Policy / Delivery Policy

The Service is delivered electronically as a hosted Software as a Service (SaaS) solution. Delivery of the Service is web-based. While we strive for best performance, Geedop makes no guarantee as to availability or uptime of the Service.

5. Cancellation Policy

Upon Service or account cancellation, data located on Geedop servers may no longer be available. It is the User's responsibility to retrieve any data prior to requesting cancellation. Geedop cannot guarantee retrieval of data after an account is cancelled.

6. Policy Violation

Geedop reserves the right to terminate, refuse, or discontinue its Service to anyone violating its policies. If an account or Service is terminated due to a policy violation, there will be no refund.

7. Support

Technical Support is provided via email for all paying clients. Technical support inquiries will be answered within three (3) business days. Most support issues are resolved the same day they are reported. Billing inquiries will be answered within three (3) business days.

You agree not to spam or abuse support channels.

Technical Support representatives may diagnose issues related to user IDs and passwords.

8. Security and Reliability

The security and reliability of the Service is a high priority for Geedop. However, Geedop cannot guarantee 100% reliability due to circumstances including, but not limited to:

• Internet congestion
• Automatic system updates, patches, and bug fixes
• Acts of terrorism
• Acts of God
• Virus, worm, or denial-of-service attacks

User agrees that Geedop is not responsible for missing or corrupted data, transmission errors, failure or delay of the Service, or any matter connected to the Service beyond the cost of the Service paid.

9. Passwords

User is responsible for maintaining password confidentiality and for regularly changing passwords. Geedop is not responsible for any data loss or security issues resulting from stolen or compromised passwords.

10. International Use

Geedop welcomes Users from any country. All payments are in U.S. Dollars. The Service is activated once full payment has been received.

11. Marketing

You agree that during the term of this Agreement, Geedop may publicly refer to you, orally and in writing, as a client of Geedop.

Notwithstanding the foregoing, if the User is a U.S. federal, state, or local government entity, public university, or political subdivision, Geedop will not use the User's name, trademarks, or make public reference to the User as a client without the User's prior written consent, except as required by applicable public records or open records laws.

12. Intellectual Property

Geedop grants you a non-exclusive, non-transferable, royalty-free license, exercisable solely during the term of this Agreement, to use applicable Geedop technology solely for the purpose of accessing and using the Service.

You may not use Geedop technology for any other purpose. Except for the rights expressly granted herein, no rights, title, or interest in Geedop technology are transferred, and all rights remain solely with Geedop.

You shall not reverse engineer, decompile, disassemble, or attempt to derive source code or trade secrets from the Service.

Geedop's trademarks, trade names, service marks, logos, design marks, slogans, and related product and service names are the exclusive property of Geedop and may not be used without prior written consent.

Any feedback, suggestions, or ideas provided by you relating to the Service shall be treated as non-confidential and non-proprietary. Geedop may use such information for any purpose without obligation.

13. Disclaimer

The Service is provided "as is" and "as available." Geedop makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

Geedop does not guarantee uninterrupted or error-free Service and will not be liable for damages resulting from use or inability to use the Service.

14. Warranties and Indemnification

EXCEPT AS OTHERWISE EXPRESSLY STATED HEREIN, THERE ARE NO OTHER WARRANTIES, EXPRESS OR IMPLIED, AS TO THE VALUE, CONDITION, DESIGN, OR FUNCTIONING OF THE SERVICE OR ANY USE OF THE SERVICE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ANY OTHER REPRESENTATION OR WARRANTY WHATSOEVER WITH RESPECT TO THE SERVICE. GEEDOP SHALL NOT BE LIABLE TO ANY USERS OF THE SERVICE, INCLUDING USER, FOR ANY INCIDENTAL, INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES, LIABILITY, LOSS, OR DAMAGE CAUSED OR ALLEGED TO HAVE BEEN CAUSED BY THE SERVICE.

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Geedop and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Service or violation of this Agreement.

Notwithstanding the foregoing, this indemnification obligation does not apply to Users that are U.S. federal, state, or local government entities, public universities, or political subdivisions where such indemnification is prohibited by applicable law.

15. Governing Law and Venue

Except as otherwise required by applicable law, this Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict-of-law principles. Venue shall lie exclusively in the state or federal courts located in El Paso County, Texas.

If the User is a U.S. federal, state, or local government entity, public university, or political subdivision that is legally prohibited from agreeing to a specific governing law or venue, this provision shall not apply, and governing law and venue shall be determined as required by applicable law.

16. Privacy Statement

Geedop's Privacy Policy explains how personal data is collected, used, and protected. By using the Service, you agree to the use of data in accordance with that policy.

17. Third Parties

Except as described in this Agreement or the Privacy Policy, Geedop will not disclose personal information to third parties without consent.

18. Complete Agreement

This Agreement constitutes the complete agreement between User and Geedop regarding the Service.

19. Non-Waiver

Failure to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision.
